Terms of Service

Effective November 1, 2026

These terms are an agreement between you and Visit Proof LLC, a Delaware limited liability company, about your use of DiscoveryVault. Please read them. By creating an account or using the service you agree to them.

1. Who we are and what these terms cover

DiscoveryVault is operated by Visit Proof LLC (“we”, “us”). These terms, together with our Privacy Policy, govern the website at discoveryvault.io and every related service, page, and email (together, the “Service”). If you use the Service on behalf of a firm or other organization, you confirm that you have authority to bind it, and “you” includes that organization.

2. What the Service does

DiscoveryVault organizes financial records for legal discovery. You upload statements, tax returns, and similar documents into a matter. The Service reads each document, identifies the institution and account, places statements by period, extracts balances and transactions, shows which expected statements are missing, and produces organized exports with file hashes.

The Service is a tool for organizing records. It does not provide legal, tax, accounting, or financial advice, and using it does not create an attorney-client, accountant-client, or fiduciary relationship with us. Decisions about what to request, produce, or rely on in a proceeding remain yours and your advisers’.

3. Accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You must give accurate account information and keep it current.
  • You are responsible for everything done through your account. Keep your password private, and we strongly recommend turning on multi-factor authentication, which the Service offers.
  • Tell us promptly at support@discoveryvault.io if you believe your account has been accessed without permission.

4. Matters, members, and roles

Records live in matters. The person who creates a matter is its owner. The owner can invite others, assign each a role (such as attorney, accountant, client, or viewer), change roles, and remove members. Invitations expire after 14 days and only work with the email address they were sent to.

The owner is responsible for who they invite and for the role they give each member. Each member is responsible for their own use of the matter. We act on the owner’s instructions about access and do not mediate disputes between members.

5. Your content

You keep all rights to the documents, data, and notes you put into the Service (“Content”). You give us only the permission we need to operate the Service for you: to store, process, display, and transmit your Content to you and the members of your matters, and to the service providers listed in our Privacy Policy who help us do so. We do not use your Content to train machine-learning models, to advertise, or for any purpose other than providing and securing the Service.

You confirm that you have the right to upload each document. Financial records about other people may be uploaded only where you have their consent, a lawful discovery process, a court order, or another legal basis, and only in keeping with any protective order or confidentiality obligation that applies. Complying with those orders and obligations, including restrictions on who may view a document, is your responsibility.

6. Automated reading and artificial intelligence

The Service reads documents automatically, using text extraction and an AI model that identifies institutions, accounts, periods, and amounts. Automated reading is not perfect. Values can be misread, periods misassigned, and accounts mismatched. The Service shows a confidence level for each document, flags documents that need review, records the page each value came from, and lets you correct any value.

Before you rely on any extracted value in a filing, a negotiation, or any proceeding, verify it against the source document. We are not responsible for decisions made on extracted values that were not verified.

7. Fees and billing

  • You pay for documents processed. A document counts as one unit for each 25 pages or part of one. The current rates are on our pricing page. Storage, team members, exports, and re-processing after a correction are included.
  • Each account receives a free allowance of document units. After that, the matter owner pays in one of two ways: by buying prepaid credits, which are drawn down as documents are processed, or by starting a metered subscription that is invoiced once a month in arrears. Payments are handled by Stripe, our payment processor.
  • Credits do not expire. If you turn on automatic reload, you authorize us to charge the card on file for the reload amount you chose whenever your balance falls below the threshold you chose; you can turn it off at any time under Billing. Unused credits are refundable on request when you close your account, less any amount already applied to processed documents.
  • Prices exclude taxes. Where we must collect sales or similar taxes, they are added to the invoice.
  • If a payment fails we will tell you and retry. While a balance remains unpaid we may stop processing new documents. Existing documents stay available.
  • Fees for documents that have been processed are not refundable, except where the law requires otherwise or where the failure was ours.
  • We may change prices with at least 30 days' notice by email or in the Service. Changes apply to usage after the notice period.

8. Acceptable use

You agree not to:

  • upload records you have no right to hold or share, or use the Service to violate a court order, protective order, or privacy law;
  • upload malware, or try to probe, disrupt, or gain unauthorized access to the Service or anyone else's matter;
  • share your account or let someone use the Service through your credentials;
  • scrape, copy, or resell the Service, or build a competing product from it;
  • remove or alter the file hashes, audit records, or other integrity features of an export in a way that misrepresents what was produced;
  • use the Service for anything unlawful.

9. Confidentiality and security

We treat your Content as confidential. We store it in a private storage bucket, serve it only through the Service after checking the requester’s membership and permissions, encrypt it in transit and at rest, and record every upload, download, correction, and export in the matter’s audit trail. Our staff do not look at your Content except where needed to run or secure the Service, to respond to your request, or where the law requires.

No system is perfectly secure. We will notify you of a security incident affecting your Content as the law requires and as quickly as we reasonably can.

10. Retention and deletion

  • Content stays in a matter until a member with permission deletes it or the matter is deleted.
  • A deleted document is recoverable for 30 days, then removed from storage.
  • Export archives are available for 7 days, then removed. You can build them again at any time.
  • The audit trail is kept for the life of the matter, since its purpose is to show what happened.
  • You can ask us to delete your account by writing to privacy@discoveryvault.io. We delete account data within 30 days, except what we must keep for billing, legal, or security reasons. Content in matters owned by other people is theirs to manage.

11. Suspension and termination

You can stop using the Service at any time. We may suspend or end your access if you break these terms, if a payment remains unpaid after notice, if the law requires it, or if your use threatens the Service or other users. Where it is reasonable to do so we will tell you first and give you a chance to export your Content. Sections 5, 6, 12, 13, 14, and 15 continue to apply after termination.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT EXTRACTED VALUES ARE ACCURATE OR COMPLETE, THAT THE SERVICE WILL IDENTIFY EVERY MISSING RECORD, OR THAT IT WILL BE UNINTERRUPTED OR ERROR-FREE. NOTHING IN THE SERVICE IS LEGAL, TAX, ACCOUNTING, OR FINANCIAL ADVICE.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VISIT PROOF LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICE, HOWEVER CAUSED. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE AND ONE HUNDRED US DOLLARS. Some jurisdictions do not allow some of these limits, so some may not apply to you.

14. Indemnity

You will defend and indemnify us against claims, losses, and expenses, including reasonable legal fees, that arise from Content you upload, from your breach of these terms, or from your violation of a law, court order, or third party’s rights.

15. Governing law and disputes

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. If a dispute arises, write to us at legal@discoveryvault.io first and we will try to resolve it informally within 30 days. Any dispute that is not resolved will be brought exclusively in the state or federal courts located in Delaware, and you and we consent to their jurisdiction. Nothing here prevents either of us from seeking an injunction to protect confidential information or intellectual property.

16. Changes to these terms

We may update these terms. For material changes we will give at least 30 days’ notice by email or in the Service before they take effect. Continuing to use the Service after a change takes effect means you accept it. The effective date at the top of this page tells you when the current version began.

17. General

  • These terms and the Privacy Policy are the entire agreement between you and us about the Service.
  • If part of these terms is found unenforceable, the rest remains in effect.
  • You may not assign these terms without our consent. We may assign them in connection with a merger, acquisition, or sale of the Service, and will tell you if we do.
  • Our not enforcing a term is not a waiver of it.
  • Notices to you go to the email address on your account. Notices to us go to legal@discoveryvault.io.
